“MOVIDA CORONA 2013″ CONTEST BY GMODELO EUROPA, S.A.U.

What is Movida Corona?

MOVIDA CORONA 2013 is a contest for International House Music DJs and Vocalists, organized by the business entity GMODELO EUROPA, S.A.U., domiciled at Calle Pradillo, nº 5, Bajo Exterior, 28002 Madrid and with tax identification number CIF A80684111, registered in the Commercial Register in Madrid, volume 6973, document 19, book 0, page number N-113428 (hereinafter GMODELO).

The aforementioned contest is divided into the following phases for each of the DJ and Vocalist categories:

-DJ/B2B category:

• 1st Phase: Play-Off Rounds.
• 2nd Phase: National Finals.
• 3rd Phase: International Grand Finale.

-Vocalist category:

• 1st Phase: selection of the 20 most voted.
• 2nd Phase: selection of 3 finalists by the Judges Panel.
• 3rd Phase: the International Grand Finale.

Attached in Annex 1 is an excel spreadsheet listing the participating countries (updates of which can be consulted at www.movidacorona.com).

The purpose of the present contest consists of identifying and promoting new talent from the international scene of DJ/B2B (individuals or duos) and Vocalists.

The aforementioned contest will be governed by the following:

General terms and conditions

FIRST.- WEBSITE FOR REGISTERING FOR THE CONTEST

Prior to the start of the contest and in order to take part, interested parties must register their entry and accept the MOVIDA CORONA 2013 terms and conditions featured in the www.movidacorona.com website. The website will be the only official and valid means of registering and participating in the contest in either of the categories (DJs and Vocalists) and participants will be required to facilitate the following personal details by completing the registration form: name, email address, password, name and surname, passport number, date of birth, country of residence, city and contact telephone number.

SECOND.- REGISTRATION MECHANICS

MOVIDA CORONA 2013 is a contest for House Music mix DJs (individuals or duos) and Vocalists. DJs of other styles of music that are not House or any one of its variations will not be allowed to take part, because MOVIDA CORONA only promotes DJs that follow this particular style.

In order to be selected, Vocalists will have to select and download one of three tracks from Pacha Recordings from the above-mentioned website and overlay the recording of the participant’s voice, following the steps specified on the website and using this for the selection process. The vocalist can choose between the three tracks or mix them.

All participating DJs must ensure that the Soundcloud tracks they have supplied in order to take part in this contest and the Pacha Recording tracks in the case of the Vocalists have been performed and interpreted personally by them without any third-party collaboration. They also agree to transfer the exploitation rights of the recordings to GModelo.

Previous Grand Finale MOVIDA CORONA DJ winners are not allowed to take part.

Once the registration period is closed, which will vary by the participant’s country and is specified on the www.movidacorona.com website, no new applications will be accepted for any given category.

THIRD.- AGE OF PARTICIPANTS

Since this event is sponsored by a Premium beer brand, all participants must be at least 18 years of age (unless the minimum legal age for the consumption of alcohol in any participating country is different, in which case participants will have to have reached at least the minimum legal age in their country and they will be subject to the local laws).

FOURTH.- PARTICIPANTING CATEGORIES: DJs AND VOCALISTS

4.1.- DJ/B2B Category

For the DJ category, there will be the following phases:

• 1st Phase: Play-Off Rounds.

  Registered participants who entered the contest via the website will be contacted by the Movida Corona / GModelo local teams to confirm their participation in the event. Participants contacted that do not reply within three days will be eliminated and may not take part in the Play Off Rounds.

• 2nd Phase: National Finals.

  There will be four participants in each National Final. The duration of the session for the DJ National Finals will be 30 minutes.

  The winner of each National Final will be announced before the end of each event.

• 3rd Phase: The International Grand Finale.

  Each country will be represented in the International Grand Finale by just one participant, with the exceptions specified in Annex I (Participating Countries).

  For the DJ category, the 3rd Phase will be divided as follows:

  • Morning (Quarter finals):

    The duration of the DJ session for the first phase of the quarter-finals will be 10 minutes. 10 participants will be selected from this first phase.

  • Afternoon (Semi-finals):

    The duration of the DJ session for the second phase of the semi-finals will be 15 minutes. 3 finalists will be selected from this phase.

  • Grand Finale:

    The duration of the session of each one of the 3 finalists for the Grand Finale will be 30 minutes. The winner of this contest will be selected during this last phase.

Each participant in the DJ category will be judged on three main categories: music selection, image/response from the audience and technique.

The Judges Panel´s decision is final and not open to debate or appeal.

4.2. – Vocalist category

For the Vocalists category, the contest will involve the following phases:

• 1st Phase:

  For the Vocalists category, participants will be provided with three tracks from Pacha Recordings, which they will have to download from the www.movidacorona.com website. Participants will be able to overlay their own voice on the recording by following the instructions supplied after which they will be able to upload their song. Participants can choose one of the three recordings and/or mix all three. It will be possible to upload up to three songs using the Soundcloud tool but only the first one will be eligible for the voting.

  Through the website, participants will accrue votes from Internet users. Users will be able to vote for their favourite Vocalist a maximum of once a day. GModelo will be able to control the voting by including cookies (according to the website’s terms and conditions) or by the user’s IP address.

• 2nd Phase:

  A Judges Panel from GModelo will select a shortlist of 3 Vocalists among the 20 most voted in the www.movidacorona.com website who will directly take part in the Grand Finale.

• 3rd Phase:

  During the Grand Finale, a Judges Panel made up of Representatives described hereunder will select the winner.

Each participant will be judged on their image/response from the audience and technique.

The Judges Panel’s decision is final and not open to debate or appeal.

FIFTH.-JUDGES PANEL

1. National Finals:

The Judges Panel for the National Finals in the United Kingdom, Greece, Belgium, Germany, Switzerland, Estonia and Spain, will consist of the following members:

• The DJ Winner of the Movida Corona 2012 (30% of total score)
• The CEO of Pacha Recordings (40% of total score)
• A representative from GModelo (15% of total score)
• Club owner (15% of total score)

In the rest of the National Finals the Judges Panel will consist of:

• A representative from GModelo (60% of total score)
• Club Owner (40% of total score)

2. Semi-finals:

The Judges Panel for the Semi-finals will consist of:

• A representative from Club Pacha (50% of total score)
• The DJ Winner of Movida Corona 2012 (30% of total score)
• A representative from the Advertising and/or Production agency designated by GModelo for this purpose (20% of total score)

3. The Judges Panel for the Grand Finale will consist of:

• An International guest DJ (20% of total score)
• A representative from Club Pacha (30% of total score)
• The DJ Winner of Movida Corona 2012(20% of total score)
• A representative from the Central agency (20% of total score)
• And the public (interactive voting system) (10% of total score)

SIXTH.- ONLINE CHANCE

DJs will also be able to take part in MOVIDA CORONA 2013 without going through the preliminary qualifying rounds by enrolling in The Online Chance via the www.movidacorona.com website which will enable them to reach the quarterfinals directly. DJs will be able to accrue votes from the website visitors. From a shortlist of the 10 most voted participants, a Judges Panel from GModelo will select the winning DJ who will pass directly into the quarterfinals to compete against the DJ winners of the National finals.

DJs can load up to three Soundtrack sessions in their www.movidacorona.com profile but only the first session will be accepted as the official entry and is the one that visitors to the website will be able to vote for.

Visitors to the website will only be allowed to vote for their favourite DJ once a day. GModelo will control this by including cookies (according to the website’s terms and conditions) or by the user’s IP address.

The winner of The Online Chance will automatically enter the quarterfinals of the contest’s 3rd Phase (see the International Grand Finale) and the prize will be the same as the one given to the winner of the National Final which is a trip for two people (winner and companion) to the Grand Finale including flights, hotel accommodation and formal meals.

DJs who have previously entered a Movida Corona event and were eliminated from the general contest may take part in The Online Chance.

If the winner of The Online Chance also happens to be the winner of the country event and therefore a quarterfinalist, GModelo will select another DJ from a shortlist of the 10 most voted DJs.

The winner of The Online chance will be chosen on the 5th of September 2013.

The Promoter will keep all participants informed of any unusual circumstances relating to this contest via the www.movidacorona.com website.

SEVENTH.- EVENTS

7.1 DATES AND ABSENCES

The dates of all the events are subject to change and GModelo is exempt from all responsibility and liability in the event of any changes.

Participants agree to attend all Movida Corona regional and/or national events or finals. Failure to attend any one of these will result in immediate disqualification of the participant in question.

If, for any reason, the winner of a phase is unable to attend the next qualifying round, GModelo reserves the right to replace the contestant with the second or third runner up of the round in question.

In addition to this, participants must wear the Movida Corona shirt provided by GModelo at the National Finals, the Quarter-finals, Semi-finals and Grand Finale.

7.2 OTHER RULES FOR THE EVENTS

• 7.2.1

  At events organized by the production agency chosen by GModelo, the venue will provide a Technical Rider.

  The use of computers or laptops is forbidden in the DJ category.

• 7.2.2

  All sessions must be live; total or partially pre-recorded sessions will not be admitted.

• 7.2.3

  The organization accepts no responsibility for the loss of or damage to personal equipment.

EIGHTH.- PRIZES

Winners of the National Final will each win a trip to the Grand Finale(including flights, hotel and scheduled meals only) and will be able to take their manager, the venue owner or a companion of their choice. If the winner of any of the corresponding National Finals is a duo, the winners may not take a companion on the trip as the number of places per country is limited.

Hotel reservations are not transferable and may only be used by the winner.

The hotel may ask for proof of identification (photo ID) and a credit/debit card to cover any extra expenses relating to the hotel room and not covered by the organizers of the contest.

The prize for the winner of the Grand Finale of the DJ category will consist of participating in the Movida Corona Tour 2014 as a promising talent DJ, 4 sessions in the Main Room at Pacha Ibiza in 2014 and in the co-production of 3 cds under the label of “Pacha Recordings”, remixing one or various musical themes. All the rights to such recordings, as well as their potential yields, are the exclusive property of Pacha.

The second and third runners up in the DJ category will travel to the Miami Ultra Music Festival 2013 (flights, accommodation and transfers are included).

The rights of representation and management of the Gran Finale Winners (Dj & Vocalist categories) will be managed by Pacha for a period of two years. Without prejudice to the previous paragraph, GModelo reserves the right to require, during the same period, the free participation of DJ/vocalist Winners in three events per year. During this period, the DJ/Vocalist winners cannot participate in similar events organized by other beer brands being promoted including, but not limited to, those promotional events being promoted in the same area as Movida Corona.

For the winner of the Grand Finale in the Vocalists category, the prize will include the recording of one song with Pacha Recordings, as well as 4 sessions in the Main Room at Pacha Ibiza during 2014 where they will sing. The winning Vocalist will also be “signed” as an official artist of the label.

The second and third runners up in the Vocalists category will take part in the Grand Finale in Ibiza. Flights, hotel and formal meals are included.

In the event of force majeure or due to reasons beyond the control of GMODELO, GMODELO reserves the right to replace the aforementioned prizes with other prizes of equal or similar characteristics.

The winner and second and third runners up of Movida Corona (DJs and Vocalists) agree to take part, upon the request of GModelo, in 5 sessions over a period one year as an official Movida Corona DJ. GModelo and the brand have the final word over the type of event.

All reasonable expenses relating to any of these activities, including travel and accommodation, will be agreed to in advance with each participant.

NINTH.- APPEARANCE & IMAGE

Participants in each category are forbidden to drink alcohol of any other brand besides Coronita or Corona Extra at any public event organized by GModelo.

In addition, participants must refrain from publishing photos, videos, texts, etc. on social media sites of beverages, brands, logos, t-shirts, gadgets, etc. of other alcoholic drinks and competitors of the aforementioned brands.

Participants in each category are obliged to protect the corporate image of CORONA EXTRA, CORONITA BEER, CORONA LIGHT or CORONA BEER and should never treat the products or the image of CORONA EXTRA, CORONITA BEER, CORONA LIGHT or CORONA BEER with disrespect or disregard at any time.

The organization reserves the right to disqualify any DJ or Vocalist for the following reasons:

• Intimidation, obstruction or abuse of another DJ or Vocalist, venue or contest employees, clients or members of the Judges Panels or any member of their group.
• Incorrect use of any of the equipment provided by or belonging to the venue.
• Not being in position when it is their turn to perform without a valid reason.
• Obstructing the normal proceedings during an event without a valid reason.
• The use of any pre-recorded or predetermined material that could be confused with their performance/skills on the night of the event.

GModelo reserves the right to claim damages of any kind that may arise should participants violate the rules outlined in these terms and conditions.

All participants of MOVIDA CORONA 2013 accept to cooperate and attend any international promotion and/or production related to the contest (filming, photography, music) developed by GModelo, Pacha or the agencies collaborating with GModelo (JWT or El Señor Goldwind).

During the contest and when attending any hypothetical media interview or event, participants must promote CORONA EXTRA (CORONA LIGHT, CORONA BEER in Turkey or CORONITA BEER in Spain) in accordance with the reasonable instructions given by the Promoter GModelo and the participant agrees to act accordingly.

The participant agrees that during this contest GModelo will hold the exclusive worldwide rights, authorization and permission to use the names, nicknames, similarities, videos, photographs, cuts, performances or other reproductions of the participant for the purposes of the contest and in order to promote the contest and support MOVIDA CORONA, CORONA EXTRA, CORONITA BEER, CORONA LIGHT AND CORONA BEER.

Therefore, all the Intellectual Property rights, options and interests relating to the participant´s participation in each category (DJs and Vocalists) in MOVIDA CORONA will be relinquished to GModelo for their exclusive use. This cession will be done according to the law and/or the moral rights of the author. This consent covers all of the exploitation rights that include, but are not limited to, the public broadcast, distribution and transformation of the materials.

Participants will not receive any kind of remuneration or fee in return for this consent or authorisation and each of the category finalists expressly agrees not to receive any payment or fees for performing at these Sessions.

GModelo ensures that the name, photos, videos and reputation of the participant will not be used in any promotion or advertising activity that could be deemed harmful or offensive.

TENTH.- FRAUD

In the event that GModelo or any entity professionally linked to this promotion detects any anomaly or suspects that a participant is preventing the normal development of his/her participation in the contest, by illegally altering his/her registration or his/her entry to the contest by any technical or computerized procedure so as to forge his/her participation, the registration of this participant shall unilaterally be eliminated.

In this respect, it is important to add that GModelo has authorized the necessary technological supports to detect any possible fraudulent, unusual or false action that aims to alter the participation in the contest with the aim of winning the prize illegally. Therefore, GModelo reserves the right to delete the registration of any participant that demonstrates to have or is suspected of having acted irregularly as described, without giving any notice to the said participant.

ELEVENTH.- TAXATION

The prizes of this contest are subject to the rules of the tax provisions that apply in the place of residence of the winning participant and since GModelo is a Spanish commercial company, the trade entity GModelo will make the appropriate tax payments or tax witholdings.

TWELFTH.- CONTEST ADMINISTRATION THROUGH THE FACEBOOK PLATFORM

The Facebook platform does not sponsor, endorse or administer in any way this GModelo contest, nor is it associated with it. Therefore, Participants shall not be in any said way affiliated with said platform.

GModelo will inform participants of any issues and circumstances relating to this contest through the website www.coronaextra.eu.

THIRTEENTH.- PERSONAL DATA PROTECTION

In compliance with Organic Law 15/1999 of 13 December, for Personal Data Protection, and the Law 34/2002 of 11 July, relating to information society services and electronic commerce and other provisions contained therein, the voluntary posting of personal data (including email address) in order to take part in this contest represents the participating user’s consent, enabling GMODELO EUROPA S.A.U. or partnering companies who handle and manage the data files (accountable for database management) to process and automate the data for advertising purposes or commercial prospecting. This data may also be included in an automated file which will be used to communicate with the participant in the future, who has agreed to allow the use of this medium to receive commercial messages from the aforementioned company relating to products and services from the alcoholic beverages sector as well as those relating to this contest. The participating user authorizes the transfer of his/her personal data to third-party collaborators of GModelo in charge of the management, delivery and use of the prizes linked to this contest.

The participant shall have the right to access said file to oppose, modify, correct or cancel, all or partially, its content only by sending request to the email address lopd@gmodeloeuropa.com or by post to the address of GMODELO EUROPA, S.A.U. (C/ Pradillo nº 5, Bajo Exterior, 28002-Madrid).

FOURTEENTH.- USE OF COOKIES

In compliance with the provisions of article 22.2, Law 34/2002 and other applicable regulations, the user expressly agrees that GMODELO EUROPA, S.A.U. installs cookies on the participant’s computer. These are small computer files used in this case to set the following parameters and to ensure the correct operation of the contest:

• user’s IP (to control online voting).
• technical connection characteristics, language and country of origin of the connection, in order to provide information in the proper language and format.
• age status: if a user confirmed that they are above the age of 18 the first time they visited the website, the GMODELO EUROPA, S.A.U. website will retain this information so that it does not repeat this question to the user each time they visit the website.

Participants must confirm they accept the installation of cookies as per the described characteristics in order to participate in each of the phases of the contest and for the purpose of voting online. All users expressly accept the conditions under which the cookies are installed.

FIFTEENTH.- REGISTRY AND JURISDICTION

These terms and conditions shall be governed and interpreted in accordance with the Spanish law, and the parties waive any provision or regulation that allows to choose the jurisdiction or claim legal disputes (with Spanish, foreign or international law) that may be caused by the application of the laws of any jurisdiction other than the Spanish one.

For any dispute arising from this contract, as to the validity, interpretation, performance, efficiency and termination of this Agreement, the Parties shall submit to the jurisdiction of the Courts of Madrid, Spain.

All participants are responsible for ensuring that the participation and/or acceptance of prize(s) do not contravene local laws or regulations of the country in which they reside. This contest is void where prohibited or restricted by law.

ANNEX 1

PARTICIPATING COUNTRIES

**Luxemburg and Belgium will select only one representative for the Grand Finale.

***Kosovo, Macedonia, Albania will select a single representative for the Grand Finale.

**** In the event any member of the Judges Panel is unable to attend an event, the GModelo / Corona Extra or Coronita Cerveza local team will designate a substitute.
